1. Introduction

Welcome to the JALA website/application.

This website/application is managed by PT Jala Akuakultur Lestari Alamku, its affiliates, and subsidiaries (collectively or individually referred to as “JALA” or “we/us”).

These Terms and Conditions govern your rights and obligations in using or utilizing this site/application.

2. Definition

In these Terms and Conditions, the following words and expressions shall have the following meanings respectively ascribed to them:

“Account” means the personal profile or credentials you create when registering for or using our platform. This includes information such as your username, password, contact details, and any other information associated with your registration and use of the platform.

“Personal Data” means any data and information regarding an identified or identifiable information of any individual, either on its own or in combination with other information, whether directly or indirectly, through electronic or non-electronic systems.

“Payment Gateway” means an electronic system provided by a Third Party that functions to process online payment transactions, including but not limited to payment authorization, transaction verification, and payment settlement between JALA and you, in accordance with the laws of the Republic of Indonesia.

“JALA App” means the shrimp farming management application and shrimp farming licensing compliance level assessment.

“Force Majeure” means any event beyond the reasonable control of both JALA and you that prevents one or both parties from fulfilling their obligations under these T&C, whether in whole or in part. Such events include natural disasters, fires , floods, earthquakes, pandemics, labor strikes by our employees, war, government actions, failures of telecommunication systems or networks, and other events that cannot be avoided despite reasonable efforts.

“Privacy Policy” means an electronic agreement between the user of the Services and us regarding the control and processing of Personal Data, which can be accessed through the following page: Privacy Policy.

“Services” means the JALA App, the official website of JALA, all applications owned or produced by JALA, and every program organized by JALA.

Business Identification Number, hereinafter referred to as NIB,” means proof of registration for conducting business activities and serves as an identification for individuals or entities in carrying out their business activities.

“OSS-RBA” means an application developed and owned by the Government of the Republic of Indonesia through the relevant ministry, which serves as a platform for the public to apply for and obtain business licenses.

“Customer” means individuals, legal entities, or companies that use the JALA App, whether registered or not.

“Third Party” means parties other than us, our affiliates, and subsidiaries who assist us in providing the JALA App.

Aquaculture Production Supplies, hereinafter referred to as “Saprotam” means probiotics, disinfectants, lime, minerals, vitamins, and other chemical or biological substances (other than shrimp feeds) that function to maintain water quality, shrimp health, and the conditions of the shrimp farming environment.

“Pro Cycle” means means a subscription feature of the JALA App that provides additional services, including monitoring of Saprotam, feed, and shrimp fry stock; inputting shrimp farming data into the JALA App system previously recorded in an Excel application; shrimp farming analysis charts; and monitoring of shrimp farm financial data.

“T&C” means these Terms and Conditions.

3. Statement

By registering to JALA App and/or agreeing to the T&C, you acknowledge that you have read, understood, recognized, accepted, and agreed to the T&C, which constitutes an agreement regarding the procedures and terms of use of the JALA App between you and us.

You agree and acknowledge that we have the full right and authority to amend these T&C from time to time at our sole discretion. Any such amendment will be communicated when you access the JALA App. These T&C and all its amendments made thereto, constitute the entire agreement between you and us concerning the matters governed herein.

In the event that you do not agree to any part or all of the provisions of the T&C, you must understand that you are not licensed to access or utilize the JALA App.

4. Platform Terms

  • You acknowledge that users of the JALA App must be at least 18 years of age or older and must not be under guardianship or conservatorship. Users must have full legal capacity to enter into and agree to this agreement.
  • You shall not use the JALA App for any purpose that is unlawful, prohibited under these T&C, or deemed unreasonable. You agree that your use of the JALA App must always comply with applicable laws, As an example, but not limited to, you agree not to use the JALA App for:
    • input false data to the JALA App;
    • reselling, whether in whole or in part, any features within the JALA App to any other party;
    • interfering with or disrupting the JALA App, or any servers or networks connected to the JALA App;
    • violating the security of any network, including attempting to bypass or decrypt passwords or encryption codes, transferring or storing illegal materials, or obtaining passwords, Account, or personal information of other users of JALA App;
    • transmitting or causing the transmission of:
    • any material that is defamatory, harms reputation, contains pornography, is vulgar, contains offensive words/sentence, deceptive, misleading, harassing, or may cause discomfort to the other party;
    • malicious content including malware, trojan horses, or viruses that interfere with any user's access to the JALA App; and
    • unsolicited bulk email or other forms of spam, including junk email or chain email;
    • obtaining or attempting to obtain unauthorized access, through any means, to the JALA App; and
    • engaging in any other actions that may cause harm to the JALA App or negatively impact the operation and continuity of its service.
  • If, based on your usage patterns, we suspect that you have engaged in any prohibited activities as outlined in these Terms and Conditions, we reserve the right to disable your user account or temporarily restrict access to certain features available to you.

5. User Account

  • While using the JALA App, you may be required to register and create a user account. By registering an account, you agree to provide and maintain accurate, up-to-date, and complete information at all times throughout the account creation process.
  • For the process and purpose of account creation, we will collect and process your Personal Data, including your name, address, mobile phone number, and electronic mail (email) address, to create and register your account.
  • You are not permitted to assign or transfer your account to any other party under any circumstances.
  • You may register an Account through the platform from the Third Party, such as Google or Facebook.
  • By registering an account, you will be able to use your account to gain access to the JALA App.
  • If you no longer have control over your account, you are required to immediately notify us (for example, but not limited to), if your account has been hacked in any way, your account is no longer accessible, or your mobile phone has been stolen) so that we can take appropriate action, including blocking and/or temporarily deactivating your account. However, please be aware that you remain responsible for the use of your account and may still be held accountable for any misuse of your account by others.

6. Limitation of Liability

By using the JALA App, you hereby represent and agree that, to the fullest extent permitted by applicable law:

  • We do not guarantee that:
    • the functions and security features provided in the JALA App will be uninterrupted or error free;
    • any errors or failures within the JALA App will be promptly addressed and rectified; and
    • the JALA App will be free from viruses, malware or harmful components.
  • You acknowledge that we shall not be held liable to you or any Third Party for any form of loss, damage, or detriment that may arise, as a result of any action taken or decision made by you or any Third Party on any information, features, or services provided through the JALA App. This provision shall continue to apply even in the event that you cease using the JALA App.
  • You acknowledge and understand that JALA shall not be held liable for any indirect, consequential, or non-material losses arising from your use of the JALA App or any claims related to your use of the JALA App.

The JALA App contains links to other websites operated by the Third Parties (including but not limited to links that you may use to complete certain transactions).

By clicking on such links, you acknowledge, recognize, and agree that such action is your voluntary decision to view or visit another website. If you choose to access a link directing you to an external site, please be aware that you will be leaving the JALA App, and any data you provide will be processed in accordance with the privacy policy and cookie policy of the respective Third Party.

Your use of services linked to Third Parties is deemed to be your agreement to all applicable terms and conditions and privacy policies with the relevant Third Party.

By agreeing to this provision, you expressly release us from any and all liability, costs, losses, or damages, whether directly or indirectly caused or alleged to be caused by or in connection with your use of account for the content or resources in question.

8. Computer System Security

  • You are required to maintain and comply at all times with all reasonable security measures to protect your computer system and the data contained therein from unauthorized control, interference or other unauthorized access and comply with all applicable laws, rules and regulations, including, without limitation.

  • You agree to provide Us with evidence of Your compliance with all the provisions in paragraph 1 of this Clause, upon request from Us. Failure to provide such evidence of compliance in accordance with Our wishes may result in suspension of the Services.

  • We provide or suggest best practices to help prevent loss and ensure your best experience using the JALA App:
    • Adequately whitelist IPs by restricting and controlling access of our Services to trusted users only;
    • Replace API access keys periodically in accordance with industry standards and regulatory requirements;and/or
    • Secure API keys, PINs, passwords or other authentication mechanisms used to log into the Dashboard or transact through the API.
  • You are solely responsible for reviewing all security controls that we provide or recommend and for determining whether such security controls are adequate or appropriate for their intended purpose. Furthermore, you are responsible for independently implementing any additional security procedures and controls that are not provided by us.

9. Shrimp Farming Management

a. Short Description

Shrimp farming management is one of the features available within the JALA App. This feature is designed to assist shrimp farmers in efficiently monitoring and managing their shrimp farms by providing tools for tracking and reporting farming activities, recording farm assets and financial transactions, calculating operational stock for cultivation, and accessing an information channel that includes shrimp price updates, shrimp farming news, and disease-related insights. Additionally, you may gain access to additional facilities if you subscribe to Siklus Pro.

b. Purpose

The purpose of the Shrimp Farming Management feature in the JALA App are as follows:

  • makes it easier for you to monitor and report shrimp farming activities in real-time, so you can improve your shrimp farming productivity and efficiency;
  • assisting you in systematically recording farm assets and financial transactions to ensure transparent, accurate, and well-organized farm management;
  • simplifying the calculation of operational farming stock, such as shrimp feed and medication, to prevent shortages or excessive waste in operational resources;
  • providing you with up-to-date information on shrimp prices, allowing you to develop effective marketing strategies and determine the optimal harvesting time; and
  • delivering relevant news related to shrimp farming, industry innovations in shrimp industry, and disease prevention through research-based information.

c. Feature Details

Farming

Pond List The Pond List feature is designed to monitor and manage cultivation data for each pond in real-time. This feature provides detailed information, including pond age, stocking date, number of stocked shrimp, Feed Conversion Ratio (FCR), Average Daily Gain (ADG), Survival Rate (SR), Mean Body Weight (MBW), and harvest size.

Excel Input This feature allows you to input daily data related to feed management, including feed types, the amount of feed administered, available stock, and projected feed requirements for each pond. Additionally, it enables you to manage and import feed-related data seamlessly within the digital aquaculture management system.

New Pond The New Farm feature allows you to plan and register additional farms as part of your data management process within the JALA App. To use this feature, you are required to provide detailed information regarding the farm's identity, including the Farm Name, Country, specific farm address details, and the total number of ponds.

Analysis Chart The Analysis Chart feature allows you to view numerical data and graphical representations of Temperature-Feed-MBW, Green Algae, pH-Alkalinity, and pH-Ammonia (NH4)-Nitrite trends.

Simulation The Simulation feature functions as a planning and evaluation tool in aquaculture by presenting data related to feed, biomass, and harvest in a systematic manner. This feature enables you to simulate farming scenarios based on the parameters you input, including the amount and frequency of feed administration, as well as the growth of cultivated shrimp.

Report The Report feature allows you to compile shrimp farming progress reports over a specific period in the form of a Cultivation Report. The report includes detailed contents such as a Summary, Pond Recap, Sampling Data, Feed Data, and an Attachment of Morning Temperature Measurements.

Finance

Summary The Financial Summary feature functions to display an overview of expenses, income, profit and loss, and the current balance, which can be adjusted for each record.

Expenses The Expenditure feature functions to record and display the complete details of farm expenditure transactions. This feature includes a notes section and allows expenditures to be categorized based on expense items.

Income The Income feature functions to record and display the complete details of all farm income transactions. This feature is equipped with a dedicated note column that can also be grouped according to income items.

Fixed Assets The Fixed Assets feature functions to add and record all fixed assets, including details such as purchase date, asset category, useful life, accumulated depreciation, purchase price, and ownership.

Report The Report feature displays financial reports, including cost per pond, cost per block, balance sheet, cash flow, and profit and loss statements. Reports can be categorized by farm.

Operational

This section contains information about feed stock, shrimp farm facilities, and Saprotam.

Jala Media

Shrimp Prices The Shrimp Price feature in the JALA App displays the latest prices based on location and size, as well as price trend fluctuations across various provinces. Users can access a visual representation of price distribution to support informed decision-making in shrimp farming operations.

Shrimp News This feature contains all news related to shrimp farming. The publishing mechanism requires individuals who wish to have their articles published in Shrimp News to submit their article drafts to JALA.

Shrimp Diseases Contains information about diseases that may affect shrimp.

Siklus Pro

Siklus Pro is a feature that you will receive upon subscribing. Subscription By subscribing, you will be able to access the following features:

  • Manage ponds by block;
  • Unlimited number of ponds;
  • Spreadsheet-style data input;
  • Financial and stock management;
  • Export and import farming and financial data;
  • Analysis charts for parameter comparison;
  • Farming and financial reports;
  • Prediction of chemical parameter data; and
  • Farming simulation.

Invoice Contains information about Siklus Pro subscription records for a specific period.

d. Statements and Warranties

You hereby represent and warrant the following to us:

  • the information you input into the shrimp farm management features, including cultivation data, asset and financial records, operational stock calculations, and other related information, is rightfully owned by you or, at the very least, you have the legal right under the provisions of the applicable laws to access and utilize such information. We do not undertake any verification, validation, or assessment of the legitimacy of your rights to access and utilize the data you provide; and
  • You agree to release, indemnify, defend, and hold us harmless, including our directors, officers, interns, and employees, from and against any and all claims, liabilities, losses, costs, expenses, or legal demands (including reasonable attorney’s fees) arising from or related to any claims or lawsuits brought by any party regarding the validity or legitimacy of your use of the data you have provided to us.

We hereby represent and warrant to you the following:

We will not, in any way, disclose the information you have entered in the Shrimp Farm Management feature to any party, except to our interns, employees, officers, and shareholders on a strict need-to-know basis, as well as to central and/or local government agencies related to compliance with shrimp farming regulations.

10. Shrimp Farming Licensing Compliance Level Assessment

a. Short Description

The shrimp farming licensing compliance assessment is one of the features in the JALA App. You can use this feature to identify licenses that you have not fulfilled in carrying out shrimp farming. In addition, we also provide licensing submission and licensing administration services according to your needs.

b. Purpose

The purpose of the shrimp farming licensing compliance level feature in the JALA App is as follows:

  • assist you in assessing and ensuring the level of compliance of your shrimp farming with relevant licenses in accordance with the laws of the Republic of Indonesia;
  • provide an evaluation of your legal compliance status with the shrimp farming license laws based on the documents and information you have provided;
  • improve your legal compliance with shrimp farming license by providing recommendations on potential non-compliance in shrimp farming licenses;
  • mitigate legal risks in the shrimp farming by assisting you identify on potential non-compliance in accordance to the provisions of the licensing laws; and
  • provide legal services for submitting license applications and obtain the necessary licenses for your shrimp farming activities.

c. Process

The following are the stages in using the shrimp farming licensing compliance level assessment feature:

  • you must first have a JALA App account;
  • access the shrimp farming compliance assessment feature;
  • in the event that you do not yet have a NIB, click the 'Do Not Have NIB' button. This button will direct you to our WhatsApp contact, allowing you to connect with us and discuss the necessary steps for fulfilling your shrimp farming license requirements;
  • in the event that you already have an NIB, enter your NIB, your OSS-RBA Account username along with its password, and an active phone number that can be reached through WhatsApp;
  • after receiving the data from you, we will carry out an assessment process and conduct an analysis of your level of compliance with shrimp farming licenses. However, we are unable to determine an exact estimate or a specific timeframe for the duration of this assessment and analysis;
  • the results of the assessment and analysis as mentioned in the previous provision above will be included in the JALA App, specifically within the feature for evaluating shrimp farming licensing compliance level assessment. Additionally, the assessment and analysis results will include an estimated cost in the event that you intend to use our services to obtain the relevant licenses. However, this estimated cost is not final, and you may negotiate with us to determine the exact amount;
  • you have the option to select which licenses or basic requirements you wish to obtain. However, it is important to understand that certain licenses and fundamental requirements are interdependent and cannot be acquired individually;
  • once you have decided which permits or basic requirements you wish to obtain, you will be redirected to our official WhatsApp Account for further discussions regarding the fees, as well as the terms and conditions governing our legal services for assisting with compliance in obtaining the licenses for shrimp farming;
  • once you and JALA have reached an agreement on the service fees for shrimp farming licenses compliance, including the terms and conditions, through WhatsApp, you and JALA shall be required to execute a separate agreement from these T&C; and
  • we will provide periodic updates on the progress of your shrimp farming license compliance through WhatsApp, email (if necessary), and update the status directly on your JALA App account.

d. Representations and Warranties

You hereby represent and warrant to us the following:

  • the information provided regarding your NIB, OSS-RBA Account username, including its password, and the WhatsApp-contactable phone number is accurate and rightfully belongs to you, or at the very least, you have the legal authority under applicable laws to access and use the OSS-RBA Account. We shall not, in any manner, be responsible for assessing the validity or legality of your right to access and use the OSS-RBA Account information that you have provided to us; and
  • you agree to release, indemnify, defend, and hold harmless JALA, including its directors, officers, intern participants, and employees, from and against any and all claims, liabilities, damages, losses, costs, expenses, or legal actions (including but not limited to reasonable attorney’s fees) that arise from or are in any way related to any claims, demands, or lawsuits brought by Third Party concerning the validity or legality of the use of the OSS-RBA Account information that you have provided to us.

We hereby represent and warrant to you the following:

We will not, under any circumstances, disclose the information you have provided regarding your NIB, OSS-RBA Account username, including its password, and the WhatsApp-contactable phone number to any party, except on a strict need-to-know basis to our intern participants, employees, officers, and shareholders, as well as to central government authorities and/or regional government authorities to the extent necessary for fulfilling shrimp farming permit compliance requirements.

11. Payment

a. Pro Cycle

If you wish to subscribe to Cycle Pro, you may make the subscription payment to us through the designated Payment Gateway. The subscription fee for Pro Cycle is subject to amendment from time to time at our sole discretion.

We shall not be liable for, and you agree to release and hold us harmless (including our directors, officers, employees, and interns) from any claims, losses, damages, or liabilities arising from or related to payment failures when using the Payment Gateway.

In the event that you experience a payment failure through the Payment Gateway, you must immediately contact us through our official contact details as listed. We will escalate your complaint to the Third Party Payment Gateway provider for further resolution. However, any decision made by the Third-Party Payment Gateway provider regarding the payment issue is beyond our responsibility, as such decisions are made solely at the discretion of the Payment Gateway provider. If necessary, we may assist in facilitating communication between you and the Payment Gateway provider.

b. Shrimp Farming Licensing Compliance Level Assessment

The shrimp farming permit compliance assessment feature is available to all users of the JALA App at no cost. However, if you choose to engage our legal assistance services for the application of shrimp farming licenses, such services will be subject to applicable fees. In the event that you decide to use the legal assistance services, payment must be made in accordance with the invoice that will be issued and sent directly to your registered email address or WhatsApp account.

c. Refund Policy

Siklus Pro

You may request a refund for the payment of your Pro Cycle subscription fee only if you have not yet used any of the features available under the Cycle Pro subscription. By agreeing to these terms, you acknowledge and accept that you will not be entitled to request a refund once you have accessed or used any feature included in the Siklus Pro subscription. Furthermore, you understand that if your refund request is approved by us, your access to Cycle Pro features will be revoked, and you will no longer be able to use any of the subscription-based services.

To request a refund, you must submit your request through our official contact details as specified in these T&C.

Shrimp Farming Licensing Compliance Level Assessment

As the shrimp farming permit compliance assessment is provided free of charge to all users, there is no basis for any refund requests related to this feature. Regarding refunds for legal assistance related to the fulfillment of shrimp farming permit requirements, such matters shall be governed separately under specific agreement.

12. Issues

a. Potential Issues

You are required to understand that in using the JALA App, you may experience various issues, including:

  • disruptions in access or suboptimal application performance;
  • system failures, bugs, or data corruption;
  • inconsistencies or inaccuracies in the displayed information;
  • suspicious activities or misuse of the JALA App Account by unauthorized parties; and
  • any discrepancy between the application features and your expectations due to changes or updates made by JALA App.

b. Reporting Issues

  • In the event that you experience any issues as referred to in the provision of point a, you may report the details of the problem through the Chat feature, which is accessible through the JALA App.
  • You are required to report detailed and accurate information regarding the issue encountered, including providing screenshots of your device screen or any other relevant evidence to support the report.
  • You are required to understand that any issues experienced while using the JALA App are confidential and should only be known between you and us. To the extent permitted by the laws of the Republic of Indonesia, you are prohibited from disclosing, sharing, or distributing any information regarding such issues, including false or misleading information, through social media, forums, or any other platforms without obtaining prior approval from us.

c. Action for the Issues

We are committed to addressing every reported issue. The actions that will be taken include the following:

  • whereas based on the problem report you have submitted, we will carry out an examination of the report at a time frame based on our sole discretion; dan
  • we will provide you with confirmation regarding receipt of the report and provide an estimated completion time.

13. General Terms

a. Personal Data Protection

Information regarding the processing and management of your Personal Data can be accessed and understood through the following page: Privacy Policy.

b. Intellectual Property Right

Unless otherwise stated, all rights contained within the JALA App, including but not limited to patents, trademarks, copyrights, arrangements, and the infrastructure used to provide the JALA App services, are owned by or licensed to us. You shall not acquire any rights, title, or interest in any intellectual property associated with the JALA App, except for the limited license that we grant to you for its use.

You hereby represent and warrant that you will not imitate, reproduce, or otherwise use our trademarks that appear within the JALA App, whether in whole or in part, unless you have obtained prior written permission from us.

Nothing in the provision of the T&C shall be construed as granting you any rights to use our trademarks.

We grant you a non-exclusive, non-transferable, non-sublicensable, revocable, and limited license to access and use the JALA App solely for the purpose of utilizing its features and functions for personal and non-commercial use, in accordance with these Terms and Conditions.

Except for the limited license expressly granted above, we do not provide or confer any other rights or licenses in connection with the JALA App.

c. Indemnification

You hereby agree to fully indemnify, defend, and hold us harmless, including our employees, intern participants, directors, and officers, from and against any and all claims, demands, liabilities, losses, damages, expenses, and reasonable legal fees that may be incurred or asserted by any Third Party or any party other than us as a result of, arising from, or in connection with your actions. This includes, any breach of the T&C, improper use of the JALA App, infringement of the rights of any Third Party or any party other than us, breaches of our Privacy Policy, and/or any violation of the laws of the Republic of Indonesia.

d. Governing Law

These T&C shall be interpreted and governed under the laws of the Republic of Indonesia.

e. Force Majeure

In the event of a Force Majeure occurrence, we shall not be held liable for any delays, failures, or disruptions in the provision of the JALA App services that arise as a result of such an event.

We will make our best efforts to restore the affected services within a reasonable period after the Force Majeure event has ended.

You acknowledge that during the period in which the Force Majeure event persists, our obligations to provide and maintain the JALA App services may be temporarily suspended until the situation returns to normal.

We will provide notifications regarding any Force Majeure event that affects the JALA App services through our official website or other communication channels that we deem appropriate, including social media platforms and your JALA App Account.

f. Dispute Resolution

You and JALA agree that any disputes, including disputes concerning the validity, existence, performance, and termination of these Terms and Conditions, shall be resolved exclusively through the Sleman District Court.

14. Termination

a. Termination by You

You may terminate these T&C at any time by ceasing to use the JALA App, which must be done by closing your Account. To close your Account, you must navigate to your JALA App Account profile, select the "Close Account" option, and complete the process by entering your password confirmation as required.

b. Termination by Us

We reserve the right, at our sole discretion, to terminate or restrict your access to the JALA App, with or without prior notice, in the event that one or more of the following circumstances occur:

  • your access may be terminated if you breach any provision of these T&C or any other policies that apply to your use of the JALA App.;
  • if you use the JALA App with the deliberate intent to violate any applicable laws;
  • any activity deemed, at our sole discretion, to be harmful to the JALA App, our - company, other users of JALA App, and/or any party related to the Third Party;
  • a lawful and valid request from a competent law enforcement agency or government authority in accordance with the provisions of applicable laws; and/or
  • if, due to internal business considerations or policy changes, we determine that discontinuing your access is necessary.

c. Consequences of Termination

  • you must understand that terminating your account through the Close Account option means you will no longer be able to access or use the JALA App. Additionally, we will delete your data from our system no later than three (3) years from the date of termination.
  • any rights and obligations that have arisen prior to the termination shall remain in effect, including but not limited to any outstanding payment obligations or any compensation that may arise as a result of your use of the JALA App; and/or
  • in the event that termination is initiated by us due to a breach committed by you, we shall not be liable for any losses, damages, or consequences that you may incur as a result of such termination.

d. Survived Provision

You must acknowledge and understand that certain provisions shall continue to remain in full force and effect even after the termination, including Intellectual Property Rights, Limitation of Liability, Dispute Resolution, and Governing Law shall remain binding upon you, regardless of the termination of these T&C.

By using the JALA App, you agree that termination of these T&C shall not release you from any responsibilities or obligations that have arisen prior to the effective date of termination.

15. Severability

If any provision or clause in these Terms & Conditions is deemed invalid or unenforceable, such determination shall not affect the validity or enforceability of any other provision or clause in these Terms & Conditions, nor shall it render them invalid or unenforceable under the provisions of any laws of any jurisdiction, court decisions, arbitration rulings, or governmental authorities in any country.

16. Miscellaneous

You are not allowed to transfer all or part of your rights and obligations under the T&C and the Privacy Policy to any party.

However, we may transfer all or part of our rights and obligations under the provisions of these T&C and the Privacy Policy to any party without requiring your prior consent or advance notification.

From time to time, we may provide information related to advertisements, Service improvements, newly launched Services, and other information through email or instant messaging.

We may do so based on the email address and phone number you have registered in the JALA App system.

You can stop receiving such messages in your email by clicking “Unsubscribe” or contacting us via the official contact details provided in these T&C. No provisions in these T&C or the Privacy Policy shall be construed as creating a partnership, joint venture, employment relationship, or principal-agent relationship between you and JALA.

Our failure to enforce our rights and obligations in the provisions of these T&C cannot be interpreted as an exemption or waiver of those rights and obligations, including our right to enforce them at a later date.

These T&C are prepared in both Indonesian and English. In the event of any conflict or difference in interpretation between the Indonesian and English versions, the Indonesian version shall take precedence.
